Who We Are
Website Sherpa is operated by Wheeling Software LLC. These terms cover the Starter and Managed website plans described at websitesherpa.io/pricing/. Optional growth services and custom projects (SEO retainers, lead generation, conversion optimization, e-commerce projects, Discourse communities, custom integrations, and custom software development) may have separate scope, billing, cancellation, and ownership terms stated in the applicable proposal or agreement, and are not automatically covered by these terms.
Plan Term & Billing
Each Starter or Managed plan includes an initial 12-month commitment that begins when your paid subscription or onboarding begins. There is no separate website build or setup fee. The plan you select is billed according to the pricing and frequency shown at checkout.
You may submit a cancellation request during the initial 12-month term, but the commitment remains in effect: service continues through the end of the initial term and amounts owed for the initial term remain payable, unless Website Sherpa terminates service under the terms below.
After the initial 12-month term, your plan continues under the billing frequency shown at checkout, and you may cancel at any time. Cancellation takes effect at the end of your current billing period. No new annual commitment begins after the first year unless you expressly agree to one.
Cancellation
To cancel, submit a cancellation request through our contact page before your next billing date, identifying your business name or website. Cancellation is effective once acknowledged or processed by our team, not simply upon sending the request. You remain responsible for charges already incurred, and hosting, maintenance, support, and included plan services continue through the effective cancellation date. Access and service may stop after that date; Website Sherpa is not required to continue hosting once the paid service period ends.
Refunds
Payments are nonrefundable once the applicable billing period has begun, except where required by law or expressly agreed in writing. This includes unused months during the initial 12-month term and unused update time.
Launch Approval & Revisions
Website Sherpa will not publicly launch the website until you approve it for launch. Starter includes two revision rounds before launch; Managed includes three.
Ownership
You own: your domain name (subject to registrar rules), your business name and trademarks, content, photographs, and media you supply, your logo and brand assets, your customer data, account credentials and third-party accounts created specifically for your business (where practical), and the final business-specific content created for your website (subject to any third-party license restrictions).
Website Sherpa retains ownership of: our reusable frameworks, shared templates, internal tools, libraries, reusable code components, workflows, design systems, hosting configurations, automation systems, internal documentation, and other technology used across multiple customer projects.
Third-party items: fonts, stock photography, plugins, themes, software libraries, SaaS tools, scripts, widgets, payment providers, analytics platforms, hosting platforms, and external integrations remain governed by their own licenses and providers. We do not promise transfer of third-party licenses unless they are actually transferable.
Website Export & Portability
While your account is active and paid, you may request an export of your website-specific content and available deployable website files. After service ends, you have 30 calendar days to request available files and content exports; after that window, Website Sherpa may delete hosted website files, backups, and related data, subject to applicable legal and operational retention requirements. We do not guarantee indefinite retention after cancellation.
An export may not include Website Sherpa's reusable frameworks, internal tools, proprietary automation, reusable shared components, third-party licensed assets that cannot legally be transferred, hosting infrastructure, internal deployment systems, or paid third-party subscriptions. The exported website may require different hosting or configuration, and some features may require replacement software, subscriptions, licenses, or technical work. We do not guarantee that every managed feature will function unchanged after migration. Migration assistance is not included unless expressly stated or separately quoted.
End of Service
- Recurring service stops after the effective cancellation date.
- Hosting may continue only through the paid service period.
- You may request available website files and content exports within 30 days of service ending.
- You are responsible for arranging replacement hosting, software, subscriptions, and technical support.
- Migration assistance may be separately quoted.
- Third-party accounts you own remain your responsibility.
- Website Sherpa may remove access to internal systems after service ends.
- Data may be deleted after the 30-day export window, subject to applicable legal or operational retention obligations.
Nonpayment & Suspension
Website Sherpa may suspend hosting or services for overdue amounts, and will provide reasonable notice where practical. Suspension does not cancel amounts already owed, and the initial 12-month commitment remains in effect unless Website Sherpa expressly terminates it. Restoration of service may depend on payment of overdue amounts.
Termination by Website Sherpa
Website Sherpa may terminate or suspend service for reasons that include illegal activity, abusive conduct, security risk, nonpayment, misuse of services, violation of third-party provider rules, or content that creates legal or operational risk.
Third-Party Services
Canceling Website Sherpa does not automatically cancel third-party services: for example domain registration, email hosting, booking systems, payment processors, analytics tools, CRM platforms, e-commerce subscriptions, advertising accounts, chat tools, review widgets, premium plugins, or specialized hosting. You are responsible for canceling or maintaining any third-party service billed directly to you.
